Terms and Conditions - Bonimi Interior Design Ltd t/a CreoGlass®

These Terms and Conditions apply to all estimates, quotes, and invoices provided by Bonimi Interior Design Ltd (trading as CreoGlass®), a company registered in England and Wales with company registration number 15172847 and VAT number GB452328209, whose registered address is Bonimi Interior Design, Unit 29, Dwight Rd, Orbital Business Park 25, Watford, WD18 9DA ("the Company"). By accepting an estimate or quote, or by making payment against an invoice, the Client agrees to be bound by these Terms and Conditions.

1. Definitions:

  • Client: The individual, firm, company, or organization to whom the Estimate, Quote, or Invoice is addressed.
  • Company: Bonimi Interior Design Ltd (trading as CreoGlass®).
  • Estimate: A preliminary indication of the likely cost of the Services or Goods, subject to further review and potential change.
  • Quote: A fixed price offer for the provision of specific Services or Goods, valid for a specified period.
  • Invoice: A demand for payment for Services or Goods provided.
  • Services: The interior design services, supply of goods, or other services to be provided by the Company as described in the Estimate, Quote, or Invoice.
  • Goods: Any materials, products, or items to be supplied by the Company as described in the Estimate, Quote, or Invoice.
  • Project: The overall undertaking for which the Services or Goods are being provided.
  • Contract: The agreement between the Company and the Client for the provision of Services or Goods, formed when the Client accepts a Quote or proceeds with the Services or Goods based on an Estimate.

2. Estimates and Quotes:

  • Estimates are provided for guidance purposes only and are not binding on the Company. The final price may vary depending on the final specifications, unforeseen circumstances, and any changes requested by the Client.
  • Quotes are valid for the period stated on the Quote. If no period is stated, the Quote is valid for 30 days from the date of issue.
  • Quotes are based on the information provided by the Client at the time of the Quote. Any changes to the Client's requirements may result in a revised Quote.
  • The Company reserves the right to withdraw or amend a Quote at any time before it is formally accepted by the Client.
  • Acceptance of a Quote must be communicated to the Company in writing (including email).

3. Invoices and Payment:

  • Invoices will be issued upon completion of the Services, delivery of the Goods, or as otherwise agreed between the Company and the Client.
  • Payment terms will be as stated on the Invoice. Unless otherwise specified, payment is due within 7 days from the date of the Invoice.
  • The Company reserves the right to request a deposit or interim payments as outlined in the Estimate or Quote. Work may not commence or continue until the agreed deposit or interim payment has been received.
  • All payments shall be made in GBP to the bank account details provided on the Invoice:

  • Value Added Tax (VAT) will be charged at the prevailing rate where applicable and will be clearly shown on the Invoice.
  • Late payments may be subject to interest charges at a rate of 5% per month or the statutory rate, whichever is higher, from the due date until the date of actual payment.
  • The Client shall be responsible for all costs incurred by the Company in recovering any overdue payments, including but not limited to legal fees.
  • The Client shall not be entitled to withhold payment or make any deductions from the Invoice amount unless agreed in writing by the Company.

4. Goods and Materials:

  • All Goods supplied remain the property of the Company until full payment has been received.
  • Risk in the Goods shall pass to the Client upon delivery.
  • The Company will use reasonable endeavors to ensure that Goods supplied are of satisfactory quality and fit for their intended purpose. However, the Company provides no guarantees or warranties beyond those provided by the manufacturer, where applicable.
  • Any claims regarding damaged or defective Goods must be reported to the Company in writing within 2 days of delivery. The Company reserves the right to inspect the Goods before agreeing to any replacement or refund.
  • Variations in colour, texture, and finish may occur in natural materials and between different batches of manufactured goods. The Company will take reasonable steps to ensure consistency but cannot guarantee exact matches.

5. Services:

  • The Company will provide the Services with reasonable skill and care, in accordance with the specifications outlined in the Estimate or Quote.
  • The Client shall provide the Company with access to the premises and all necessary information and cooperation required for the proper performance of the Services.
  • Any delays in the completion of the Services caused by the Client's failure to provide access, information, or cooperation, or by changes requested by the Client, may result in additional charges and an extension of the project timeline.
  • The Company reserves the right to make minor adjustments to the design or specifications where necessary, provided that these do not materially affect the overall quality or functionality of the Services.

6. Intellectual Property:

  • All intellectual property rights, including but not limited to designs, drawings, specifications, and concepts created by the Company, shall remain the property of the Company unless otherwise agreed in writing.
  • The Client is granted a non-exclusive license to use the designs and specifications solely for the purpose of the Project for which they were created, upon full payment of all outstanding invoices.

7. Liability:

  • The Company's total liability to the Client in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Contract, shall be limited to the total value of the Invoice(s) relating to the specific Services or Goods that are the subject of the claim.  
  • The Company shall not be liable for any indirect, consequential, or economic loss, including but not limited to loss of profits, loss of business, or loss of opportunity.
  • Nothing in these Terms and Conditions shall exclude or limit the Company's liability for death or personal injury caused by its negligence, or for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.  

8. Termination:

  • Either party may terminate the Contract by written notice if the other party commits a material breach of these Terms and Conditions and fails to remedy such breach within 30 days of being notified in writing.
  • The Company may terminate the Contract immediately by written notice if the Client becomes insolvent or bankrupt.
  • Upon termination of the Contract, the Client shall immediately pay to the Company all outstanding invoices for Services performed and Goods supplied up to the date of termination, together with any costs reasonably incurred by the Company as a result of the termination.

9. Force Majeure:

  • The Company shall not be liable for any delay or failure to perform its obligations under the Contract due to events or circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, strikes, lockouts, accidents, war, terrorism, or the unavailability of materials or services from third-party suppliers.

10. Data Protection:

  • The Company will process the Client's personal data in accordance with its Privacy Policy, which is available upon request or on the Company's website (if applicable).

11. Governing Law and Jurisdiction:

  • These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.  
  • Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.  

12. Entire Agreement:

  • These Terms and Conditions, together with the relevant Estimate, Quote, or Invoice, constitute the entire agreement between the Company and the Client and supersede all prior negotiations, discussions, or agreements relating to the subject matter.

13. Variations:

  • No variation of these Terms and Conditions shall be effective unless it is in writing and signed by a duly authorized representative of the Company.  

14. Notices:

  • Any notice required to be given under these Terms and Conditions shall be in writing and shall be delivered personally or sent by prepaid first-class post or by email to the address of the receiving party as set out in the Estimate, Quote, Invoice, or as otherwise notified.
